Terms of Service

These terms cover your use of daizy.co.in and any work you engage Daizy to do. We've written them in plain English so there are no nasty surprises buried in legalese.
Every project also has its own written proposal or quote that sets out the specific scope, deliverables, and price. Together with these terms, that proposal forms our agreement. If anything in a signed proposal conflicts with these terms, the proposal wins for that project.
01 About Daizy and these terms
Daizy is a small, founder-led digital studio offering website development, mobile app development, digital marketing, SEO/AEO/GEO, and AI automation. These terms apply when you browse our site, send an enquiry, or engage us for work.
02 Quotes, audits, and how we agree work
Quotes and the initial website audit are completely free and carry no obligation. We only begin work once you've seen the written scope and fixed price and given us your clear go-ahead. We will never start work or charge you for anything you haven't agreed to in writing first.
03 Payment terms
Each project is quoted as a fixed price, agreed before any work starts. Unless your proposal says otherwise, payment works like this:
- Advance deposit — an upfront deposit (typically 40%) reserves your slot and covers the discovery and planning stage. This deposit is non-refundable.
- Milestone payments — larger projects may be split into scheduled payments tied to agreed stages.
- Final balance — the remaining balance is due before final handover or go-live.
- Marketing and SEO — these run as a monthly retainer billed in advance, kept separate from any ad budget you fund directly.
- Methods and taxes — we accept bank transfer and UPI. GST and other applicable taxes are added where required.
- Late payment — we may pause work if an invoice is significantly overdue, and resume once it's settled.
04 What you receive, and who owns what
When your project is fully paid for, you receive the finished, working product and the right to use it for your business, your domain registered in your name, and full access to your hosting and analytics accounts. Any brand assets, content, or material you provide to us remain yours.
Daizy retains ownership of the underlying source code, along with any reusable frameworks, tools, and components we use across our projects. Until a project is fully paid for, all work, drafts, and deliverables remain the property of Daizy.
If full ownership or transfer of the source code matters for your situation, just raise it before we start and we'll set the terms out clearly in your agreement. We may feature completed work in our portfolio unless we've agreed otherwise in writing.
05 Revisions and scope
Each proposal includes a set number of revision rounds (usually two) within the agreed scope, so we can refine the work together. Changes that go beyond the original scope are quoted and billed separately, so you always know the cost before we proceed.
06 Your responsibilities
To keep your project on track, you agree to provide the content, brand assets, account access, approvals, and feedback we need in good time, and to give us accurate information. Delays on the client side can move timelines, and we can't be responsible for hold-ups caused by things outside our control.
07 Review and approval
When we deliver work, you have a short review window — usually 7 days — to test it and report any issues so we can fix them. If we don't hear back within that window, we'll treat the work as approved and the final payment becomes due.
08 Maintenance and support
Unless your proposal says otherwise, the project price covers building and launching your product, not ongoing upkeep. We offer optional monthly maintenance and managed-hosting plans if you'd like us to keep everything running, updated, and secure after launch.
09 SEO and digital marketing
Search and advertising results depend on factors outside anyone's control — algorithms, competition, and platform policies — so we don't guarantee specific rankings, traffic, or sales. What we do commit to is proper setup, honest reporting, and steady optimisation. You fund advertising budgets directly and own your ad accounts. Monthly retainers can be cancelled with 30 days' notice.
10 Domains, hosting, and third-party costs
Your project fee covers our design and development work. Costs such as domain registration and renewal, hosting, premium plugins or APIs, stock assets, and third-party subscriptions (for example Supabase or advertising budgets) are yours to cover. We're not liable for outages, price changes, or policy changes from third-party providers.
11 AI and automation
AI and automation features often depend on third-party platforms such as OpenAI, Meta, or the WhatsApp Business API, and changes those platforms make are outside our control. AI output isn't guaranteed to be perfect and should always have human oversight. You're responsible for using any AI features lawfully and in line with the relevant platform terms.
12 App store submissions
Where your project includes publishing an app, whether it's approved is entirely at Google's or Apple's discretion. Developer account fees are your responsibility, and store policy changes after launch fall outside the standard project scope.
13 Refunds and cancellation
- Free stage — nothing is charged for quotes or the audit, so there's nothing to refund at that stage.
- Deposits — advance deposits are non-refundable, as they reserve our time and cover early work.
- Work in progress — once work has started, completed work is payable and non-refundable, and any ad spend already deployed can't be refunded.
- Retainers — billed in advance, with no refund for a partial cycle; cancel future cycles with 30 days' notice.
- If you cancel — let us know in writing. Completed work is billed, and any excess you've paid is returned after deducting work done and costs we've already committed.
- If we cancel — we may end an engagement for non-payment, abuse, or a serious breach. We'll hand over the work you've paid for and refund any unearned balance, less resources already committed.
14 Limitation of liability
To the extent the law allows, our total liability for any claim is limited to the fees you've paid us for the service the claim relates to. We're not liable for indirect or business losses, lost profits or data, or problems caused by third-party platforms.
15 Confidentiality
Both sides agree to keep each other's confidential information private — including business plans, strategies, credentials, and source code — and to use it only for the project. This obligation continues after the project ends.
16 Project pauses and inactivity
If a project goes quiet on the client side for 30 days or more, we may treat it as paused. Completed work remains payable, and picking the project back up may need rescheduling around our other commitments.
17 Changes to these terms
We may update these terms from time to time. When we do, we'll change the date at the top of this page. Continuing to use our site or services after a change means you accept the updated terms.
18 Governing law and disputes
These terms are governed by the laws of India. If a disagreement comes up, we'll always try to sort it out in good faith first. Any dispute that can't be resolved that way falls under the jurisdiction of the courts of Ahmedabad, Gujarat.
